Jane Armstrong practices exclusively in the areas of executive compensation and employee benefits, with more than 35 years of experience. Her recent practice has emphasized compensation matters arising in connection with mergers and acquisitions and corporate governance.
Jane's practice includes the design and implementation of executive compensation, equity compensation and other compensatory arrangements, such as golden parachutes and deferred compensation. She also represents companies and executives in connection with the negotiation of employment and severance agreements. Jane provides advice concerning securities laws related to compensation, such as proxy disclosures, Forms 3 and 4, and Forms S-3, S-8, and 8-K, and Rule 701, and compliance with Sections 162(m), 409A, and 280G of the Internal Revenue Code. She is recognized as a national speaker in the areas of employee benefits and executive compensation, and she was also the first woman to participate in firmwide management, serving on the firm’s Operations Committee.
Jane is a Board Certified Tax Law Specialist, certified by the Louisiana Board of Legal Specialization. Before joining the firm, she was an associate at Cadwalader, Wickersham & Taft, in New York, New York, and a partner at Jones Walker in New Orleans, Louisiana.
