    Casey O'Flynn focuses his practice on business, real estate, finance and tax law. He represents clients in a broad range of transactional matters, including:

      • Asset and stock purchases
      • Taxable and tax-free mergers, acquisitions and divestitures
      • Entity and joint venture formations and restructurings
      • Capital market transactions
      • Finance and lending

    Casey has substantial experience representing developers, lenders, and borrowers in real estate transactions in a variety of industries. He represents complex real estate partnerships, developers and LLCs in all phases of acquisition and financing of property investments, such as hotels, office buildings, multi-family residential, malls and mixed-use developments, and restructuring of the underlying ownership interests. Casey ensures that each transaction is structured to minimize federal, state and local tax liability.

    Casey further advises beginning and growth-stage companies through founder negotiations, strategic structuring, equity incentive initiatives, venture financing, and strategizing “scale & sale.”

    Prior to joining Phelps, Casey was a senior associate in the corporate and real estate group at a national law firm. Casey began his career at Deloitte where he primarily focused on tax matters relating to investments in partnerships and joint ventures, private equity fund formations and investments, mergers and acquisitions, REITs, real estate investments and opportunity zone funds.
