    Andy Peluso represents national and regional builders and developers, owner-operators, private equity firms, family offices and real estate investment trusts as they acquire, sell, develop, finance and lease commercial and residential real estate and in connection with other various business transactions. He leads complex real property transactions from start to finish while helping clients anticipate and solve problems along the way.

    As part of his practice, Andy handles:

    • Construction, project-level, and fund-level financing agreements
    • Joint-venture agreements
    • Leasing and subleasing agreements
    • Letters of Intent
    • Permitting, entitlements, platting and government approvals
    • Purchase and sale agreements
    • Site development agreements
    • Vertical construction agreements and subcontracts

    He has deep experience in the build-for-rent and single-family rental market space. Andy is the co-chair of the Florida chapter of the National Rental Home Council (NRHC), a trade association representing an industry dedicated to providing high-quality move-in-ready rental homes for families across the country.

    Andy is skilled at getting access to capital for clients, whether it is a construction loan or commercial financing necessary to support joint ventures and funds that underwrite real estate projects. He is a trusted partner to institutional capital partners who turn to him to resolve complex deal issues.

    His experience as a former in-house counsel for a vertically integrated real estate asset acquisition, development, and management firm informs his ability as a manager to integrate legal services with operations and drive a deal or program to completion. He strives to find common ground with counsel to reduce friction and build trust with other stakeholders.

    Experience

    • Served as the chief legal advisor for a vertically integrated real estate acquisition, development and management platform, restructuring its internal transactional due diligence processes, managing all legal operations and strategy, and counselling principals on the platform’s risk, compliance, and governance functions.
    • Structured and led all drafting, negotiation, and closing efforts for dozens of land acquisition and entitlement transactions in connection with developing, constructing, and operating single-family subdivisions throughout the southeastern United States.
    • Structured and led all drafting, negotiation, and closing efforts for numerous real estate acquisition deals involving the phased acquisition of completed homes within master-planned communities from developers and homebuilders upon completion of construction and issuance of certificates of occupancy.
    • Advised a real estate investment firm in the disposition of a $50 million-plus multi-family development in southwest Florida.
    • Represented a national residential developer and homebuilder in the asset and real estate disposition of a $25 million-plus golf club in southeast Florida.
    • Managed real estate acquisitions and leasing for a private equity firm in its automotive dealership industry related roll-up strategy, specifically in connection with the acquisition and leasing of 15-plus dealerships in more than seven states, with associated purchase prices on the applicable transactions totaling more than $100 million collectively.
    • Conducted due diligence for a private real estate investment firm in connection with a $130 million acquisition of a premier beach and destination resort in the Florida Gulf Coast.
    • Negotiated the lease of a major Tampa beverage distribution center contemplating more than $2 million in annual rent and additional rent.
