When millions of dollars are on the line, Joe’s clients lean on that spirit to break through impasses and find valuable solutions. He understands that both sides often have the same goal, and he works diligently to resolve disagreements and empower his clients to reach their desired destination.

Joe practices in the area of business law with a focus on commercial real estate, real estate finance and general corporate representation. His legal practice includes all aspects of commercial real estate, with an emphasis on buying and selling property, commercial finance and lease transactions.

He also handles complex corporate mergers and acquisitions and represents clients in a variety of general corporate matters.

With strong ties to Fort Worth’s business community, Joe also helps to lead Phelps’ Fort Worth office as its co-managing partner, heads up the DFW business group, and serves on the firm’s Opinion Committee.

  • Represented equipment leasing company in connection with $25 million Revolving Credit Facility.
  • Represented Mississippi-based estate in connection with loan secured by 12,500-acre bank property in Texas.
  • Regularly serves as Texas-based counsel for Firm lender clients where transaction involves Texas-based collateral; oversees Texas legal opinion practice.
  • Served as local counsel for Florida-based lender in connection with $52 million refinance transaction relating to office tower complex in Dallas, Texas.
  • Counseled leading Texas bank regarding various middle market, secured loan transactions and prepared loan documents.

Real Estate

  • Served as local real estate counsel to private equity client in connection with $275 million sale of West Texas surface mineral assets.
  • Assisted in representing real estate investment company in connection with $375 million acquisition of corporate campus in Irving, Texas.
  • Assisted in representing real estate investment company in connection with acquisition of three Texas-based hotel properties totaling over $20 million.
  • Represented private equity client in connection with seller-financed acquisition of 1,260-acre frac sand parcel in West Texas.
  • Served as local real estate counsel to private equity client in connection with $18 million asset acquisition of Harris County chemical processing facility assets and related real estate.
  • Assisted with representation of real estate investment company in connection with $239 million acquisition of television studio headquarters in Miami, Florida.
  • Served as local real estate counsel for Louisiana-based utility in connection with BOT Agreement for solar facility in Liberty County, Texas.
  • Served as Texas counsel on Public-Private Convention Center and Hotel projects in Las Colinas and Harlingen, Texas.
  • Represented Canadian-based trailer manufacturing company in connection with Chapter 380 Incentives Project and related acquisition and development of real estate in McLennan County, Texas.
  • Represented numerous clients in connection with acquisition and sale of Texas-based warehouse properties totaling over $100 million.
  • Counseled Canadian-based client in $3.8 million sale of undeveloped property in Fort Worth, Texas.
  • Represented real estate investor in connection with acquisition of retail properties and related tenant in common agreements.
  • Represented multiple real estate investors in connection with acquisition of Texas Family properties and related 1031 Exchange transactions.

  • Served as local real estate counsel to leading producer of pressure-treated wood products in connection with $37.5 million stock acquisition of East Texas wood treatment company.
