Roy Crawford provides prompt, sound and efficient tax planning, tax litigation and counsel on mergers and acquisitions for clients of all sizes. For over 40 years, he has provided counsel on both the buy and sell sides of numerous acquisitions and often advises corporations and their shareholders and directors on corporate governance matters. He makes a point to closely engage in every stage of a transaction so that he can leverage his industry knowledge to identify potential issues earlier in the process to his clients’ benefit.

He focuses his practice on the following:

    • Mergers and acquisitions
    • Corporate governance
    • Federal and state tax planning and litigation
    • Representation of health care providers

Experience

  • Lead counsel on behalf of the taxpayer in the Eleventh Circuit, setting precedent that claims against a decedent are to be valued for estate tax purposes based on the facts knows as of the date of death.
  • Served as lead counsel for a major health service company in which the Alabama Supreme Court upheld the client’s position.
  • Represented owners/management in the sale of a 49% interest in the company to a private equity firm during the COVID pandemic.
  • Represented the owners of a chain of retail gasoline and diesel outlets and convenience stores in the sale of the business to a large national chain.
  • Represented a split-interest trust in the sale of over 40,000 acres of timber land, including obtaining circuit court (i) appointment of a class representative and counsel to represent the medical beneficiaries of the trust and (ii) approval of the sale.
