We represent entrepreneurs in the start up of their business and more mature companies in all aspects of expanding their businesses through issuance of debt and equity capital and mergers and acquisitions. We also represent private investors and venture capital companies.

Attorneys in the group often counsel clients about business growth and opportunities for their respective industries. Our attorneys work in conjunction with the firm's tax attorneys to provide advice relating to the best means for structuring transactions, reducing related taxes and taking advantage of available incentives. Experience of the attorneys in the group include public offerings, private placements, proxy contests, going private transactions, mergers and acquisitions, SEC compliance, corporate governance, joint venture agreements, buyouts and recapitalizations. As a full-service practice, we also advise clients on a full range of related business and finance matters.

Securities
We regularly represent companies in connection with public and private offerings of equity and debt securities, proxy solicitations, preparation of periodic reports to the SEC, secondary offerings, shelf registrations and Rule 144A offerings. We also serve as counsel to underwriters in connection with public offerings and private placements of securities. The group counsels clients in various aspects of the private placement of securities including representing investors and venture capital firms in financing transactions.

Venture Capital
We represent both companies and venture capitalists in connection with financing new businesses and business expansions. Our attorneys have organized all types of legal entities throughout the Gulf Coast and beyond. In addition, we evaluate the client's potential for growth and propose plans for employment and employee benefits agreements. We also propose methods of financing for our clients to include angel investors and venture capital.
