    Mark Fullmer practices in the areas of business and finance and corporate and securities law. He represents start-up companies as well as companies in the mature stages of their growth cycle. His practice in the area of corporate and securities includes all aspects of public and private company representation, including public offerings, private placements, corporate governance, compliance with Sarbanes-Oxley, and mergers and acquisitions. He has also represented both venture capital funds and investors in private equity transactions.

    • Representation of a bank holding company in connection with two multi-billion dollar mergers.
    • Representation of bank holding companies in connection with acquisitions of eight banks in eight separate transactions.
    • Representation of the owner of retail furniture stores in connection with the sale of the stores.
    • Representation of owners of companies in merger and acquisition activities in the oilfield services industry involving offshore service vessels, jack up boats, offshore diving, subsea operations and rental of drilling tools involving both strategic buyers and financial buyers.
    • Representation of the owners of a logistics company in connection with the sale of the company to a strategic buyer.
    • Representation of the owners of a fishing company in connection with the sale of the company to a strategic buyer.
    • Representation of a company in the mining business in connection with the sale of substantially all of its assets to a financial buyer.
    • Representation of the owners of an environmental services company to a financial buyer.
    • Representation of a national bank in connection with its acquisition of three insurance agencies in three separate transactions.
    • Representation of a bank holding company in connection with its acquisition of an investment banking firm.
    • Representation of the owners of a company in the motor coach business in connection with the sale of the company.
    • Representation of the owners of companies in the technology industry in connection with the sale of their companies.
    • Representation of public companies in connection with public offerings of their securities.
    • Representation of an issuer in a $100 million underwritten public offering of Subordinated Notes.
    • Representation of banks in connection with their acquisitions of an aggregate of $1.5 billion of assets from failed banks pursuant to Purchase and Assumption Agreements with the FDIC.
