    Brad Kline practices in the area of corporate transactions, business, real estate and finance, with a focus on transactions involving commercial real estate. He assists and advises clients on acquisitions, financings and dispositions of a variety of property types, including multi-family, hotel, quick service restaurant, shopping center and office projects. In connection with these transactions, he drafts and negotiates leases and purchase agreements, advises on property and entity due diligence, evaluates title and survey matters, and helps structure 1031 exchanges and tenant-in-common arrangements. He also prepares and reviews various organizational and governance documents for limited liability companies, limited partnerships, corporations, joint ventures and other types of ownership entities. Brad also reviews and negotiates loan documents and prepares and issues legal opinions on various types of commercial real estate loans, including conventional, construction, CMBS, Freddie Mac/Fannie Mae and HUD loans.

    Brad’s practice also includes representing banking and lending institutions in financing transactions; drafting and negotiating contracts, supply agreements, leases and servitude agreements; representing franchisees; representing buyers and sellers in the acquisition, sale or merger of small and large business; representing agriculture and marketing cooperatives; entity and joint venture formation and organization; and general counseling of both established and emerging businesses.

    Brad brings his deep ties to the Baton Rouge business community to lead Phelps’ Capital City office and contribute to the firm’s Opinion Committee.

    Experience

    • Representation and general counseling to real estate investment company in over $2 billion in acquisition, financing and sale transactions involving multi-family residential, hotel, office and commercial shopping center properties.
    • Representation of real estate investor in acquisition and financing of Marriott, Hilton and Hyatt-branded hotel properties in Louisiana, Florida, Georgia, Tennessee, New Jersey, and New York.
    • Representation of real estate investors in 1031 exchange and reverse 1031 exchange transactions.
    • General counseling and representation of franchisee-operator of 150+ Popeyes Louisiana Kitchen, Burger King and Taco Bell restaurants in leasing and franchise matters.
    • Representation of quick service restaurant franchisees in the acquisition, development, financing, and sale of restaurants.
    • Representation of fast casual restaurant franchisor in leasing and development of franchisor-operated restaurants.
    • Representation of large agricultural marketing cooperative in formation and governance.
    • Representation of local lenders on financings secured by real estate and UCC-9 collateral.
    • Representation of small, mid-sized and large clients in asset and stock sales and purchases and merger transactions.
    • Representation of investment firms in entity formation and investment transactions.
    • Representation of borrowers in commercial mortgage-backed securities (CMBS) loan transactions.
    • Representation of Louisiana real estate investors and developers in acquisition and development of shopping centers.
