    Experience

    • Structured an equity sale of an ESOP-owned manufacturing company through an “F” reorganization, providing exit and liquidity for the shareholders and the ESOP.
    • Represented a trucking company through accretive acquisitions and expanding of operations throughout the U.S. and Canada.
    • Created multiple funds used in joint ventures with third parties to acquire, reposition and rebrand hospitality properties through coordination with franchisors, tenants, and major and boutique hotel companies on financing, tax incentives, liquor licenses, leasing, and acquiring and divesting of hospitality properties.
    • Structured a strategic multistate restaurant acquisition that utilized the Venture Capital Fund Exemption to reduce Tennessee franchise and excise taxes and sale-leaseback that allowed the purchasers to focus on the core restaurant business and provide capital to fund internal and external growth.
    • Leveraged personal goodwill by business owners to sell company assets at a favorable state tax effective structure.
