Bart Bacigalupi focuses his practice on commercial business matters, including project development, commercial finance, real estate, company acquisition and sale matters, vessel sale, maritime contracts, software contracts, startup advice and corporate governance matters. He partners with companies to expand their operations and market share.
Bart leads the Phelps renewable energy project development team and guides energy companies, supply chain vendors, lenders, investors and utilities through commercial matters, finance matters and strategic transactions. He combines deep industry experience with proactive analysis to help clients build their businesses on a solid legal foundation.
Bart chairs the firm’s Opinion Committee, with the ability to render local counsel legal opinions, maritime legal opinions and oil and gas legal opinions.
He also serves on the Phelps Operations Committee.
Experience
Renewable Energy Projects
- Negotiated real estate, port, finance and other project documents for leading energy company to launch a liquefied natural gas project in Louisiana.
- Partnered with the carbon capture arm of a global renewable energy company to develop a carbon capture project on the Gulf Coast.
- Served as Louisiana counsel for a global renewable energy producer to develop 160MW solar project, steering real estate, title, financing, legal opinions, project documents and general transaction matters.
- Managed business, finance and real estate needs for international solar companies for projects – including two currently operational +150MW projects – across Louisiana, Texas, Mississippi, Alabama and Georgia.
- Advised a global operator involved in wind farms, photovoltaic plants and hydropower in real estate and transactional matters.
Finance and Lending
- Represented lenders and borrowers in regional, national and international secured loan transactions, ranging from $1 million to $1.2 billion, providing working capital facilities, term loans, bond arrangements and interest rate swap arrangements.
- Counseled borrower and helped structure multimillion-dollar loan for leading U.S. marine transportation solutions providers to finance construction of the first-ever U.S. flagged, Jones Act-compliant windfarm service operations vessel (SOV).
- Advised Fortune 500 utility company in a $3.2 billion securitization financing, helping the client recover substantial restoration costs incurred from multiple hurricanes and winter storms from 2020-2021.
Maritime
- Negotiated purchase and acquisition of two regional shipyard facilities for one of the nation’s leading marine transportation providers.
