    Bart Bacigalupi focuses his practice on corporate business matters, including commercial finance, software contracts, services agreements, real estate, leasing, start-up advice, corporate governance and other commercial matters. He advises companies in general business matters across various industries, including energy, shipping, financial middle-market lenders, real estate investors, technology, hospitality and public utilities with respect to their legal business needs. Bart seeks to serve as a partner to clients through understanding their business and legal needs.

    Bart chairs Phelps' Opinion Committee and serves on its Operations Committee.

    Experience

    • Representing a group of affiliated companies in the marine services industry, including acquisitions, mergers, joint ventures, loans, vessel registry matters and contracts with customers.
    • Representing lenders and borrowers in regional, national and international secured loan transactions, ranging from $1 million to $1.2 billion, providing working capital facilities, term loans, bond arrangements and interest rate swap arrangements.
    • Representing numerous software, app and other tech companies, assisting with governance documents, services/software agreements, SAAS agreements, confidentiality agreements, indemnity agreements and related matters.
    • Representing vessel owners, assisting with charter documents, purchase and sale documents, U.S. Coast Guard registration issues, Flag of Convenience assistance (Vanuatu, Panama, etc.) and related maritime matters.
    • Local counsel representation (Louisiana, Maritime and/or Oil & Gas), including legal opinions and related advice.
    • Representing alternative energy companies with their business and real estate needs throughout Louisiana, Texas and other states along the Gulf Coast.
    • Representing the real estate departments of a utility provider and a local university dealing with matters ranging from commercial leases, purchase and sale agreements, right of way transactions, easement transactions, zoning issues and title issues.
    • Outside general counsel role for numerous companies, including advising them on assorted master services agreements, vendor agreements, employee contracts and other contractual needs.
    • Representing numerous software, app and other tech companies, assisting with governance documents, services/software agreements, SAAS agreements, confidentiality agreements, indemnity agreements and related matters.
    • Advised Fortune 500 utility company in a $3.2 billion securitization financing, helping the client recover substantial restoration costs incurred from multiple hurricanes and winter storms from 2020-2021. In addition to work on the transaction documents, the Phelps team drafted the necessary legislation enacted by the Louisiana Legislature in 2021 to allow the new financing structure to be used, drafted the financing order subsequently issued by the Louisiana Public Service Commission to approve the financing, and rendered three required federal and Louisiana constitutional law opinions.
    • Representing a commercial real estate firm negotiating commercial leases (as landlord) throughout Louisiana.
    • Representing restaurants and catering companies, assisting with commercial leases (as tenants), governance documents, vendor agreements, liquor license issues and employee matters.
    • Representation of landlords and tenants in leases of office buildings, shopping centers and other retail space.
    • General corporate representation of companies with respect to formation and governance documents (limited liability companies, corporations, partnerships and other entities).
    • Representation of companies, as seller and as purchaser, in asset sales, acquisition transactions, office buildings, domestic and foreign flagged vessels, residential properties and franchise restaurant properties.
